(Notification of Significant Changes in Voting Rights according to Law 3556/2007, and Disclosure of related party transactions with persons discharging managerial duties)
AVAX SA (the “Company”) announces that, according to the notifications received on 06.08.2024 from
(a) CDSJ Holdings Limited and CSME Holdings Limited (both related to Company Chairman Mr Christos Joannou, as per article 19 of EU Regulation 596/2014), and
(b) the Company Chairman Mr Christos Joannou and Cyprus-based CDSJ Holdings Limited, which is controlled by him as per Law 3556/2007,
CDSJ Holdings Limited, which is controlled by Mr Christos Joannou, sold on 06.08.2024 its entire shareholding in fully-owned Cyprus-based Honeysuckle Properties Ltd, which is direct owner of 11,133,500 shares of the Company and the corresponding voting rights, representing 7.506% of the Company total. The shares were purchased by Cyprus-based CSME Holdings Limited, which is also controlled by Mr Christos Joannou and a direct owner of 14,086,111 shares of the Company and the corresponding voting rights, representing 9,497% of the Company total.
Following those transactions, the percentage of voting rights of the Company controlled directly and indirectly by Company Chairman Mr Christos Joannou is unchanged, yet their balance shifts.
More specifically, Mr Christos Joannou currently controls either directly or indirectly a total of 31.071% of the Company’s voting rights (corresponding to 46,086,111 shares and voting rights), as follows:
- 128% (corresponding to 190,000 shares and voting rights) directly,
- 497% (corresponding to 14,086,111 shares and voting rights) through CDSJ Holdings Limited and CSME Holdings Limited, both of which are controlled by him,
- 506% (corresponding to 11,133,500 shares and voting rights) through CDSJ Holdings Limited, CSME Holdings Limited and Honeysuckle Properties Ltd, all of which are controlled by him, and
- 940% (corresponding to 20,676,500 shares and voting rights) through CDSJ Holdings Limited, CSME Holdings Limited, STEJO Ltd and JCGH Ltd, all of which are controlled by him.
The transaction between legal entities controlled by Mr Christos Joannou was carried out as part of the rationalisation of the shareholder structure of the Company.
