Regulatory Information –Notification of Significant Changes in voting rights pursuant to Law 3556/2007.
AVAX SA (the «Company») hereby announces in accordance with the provisions of Law 3556/2007, article 19 of Regulation (EU) 596/2014 and the notifications dated 31.08.2022 received by Cyprus-based companies “Joannou & Paraskevaides (Investments) Limited” and “CDSJ Holdings Limited” as well as Mr Christos Joannou, Chairman of the Company’s Board of Directors, that Cyprus-based company JOANNOU & PARASKEVAIDES (INVESTMENTS) LIMITED on 31.08.2022 transferred its entire holding in Company shares (31,810,000) and the respective voting rights, representing 22.041% of total Company voting rights, as follows:
a. 20,676,500 Company shares and voting rights representing 14.327% of total Company voting rights to Cyprus-based “JCGH Ltd”, which according to Law 3556/2007 is indirectly controlled by Mr Christos Joannou, Chairman of the Company’s Board of Directors, through CDSJ Holdings LTD, CSME Holdings Ltd and STEJO Ltd which are also controlled by him
b. 11,133,500 Company shares and voting rights representing 7.714% of total Company voting rights to Cyprus-based Honeysuckle Properties Limited, which according to Law 3556/2007 is indirectly controlled by Mr Christos Joannou, Chairman of the Company’s Board of Directors, through CDSJ Holdings Ltd which is also controlled by him.
Following those share transfers, Mr Christos Joannou indirectly controls 33.326% of the Company’s voting rights, corresponding to 48,096,111 shares and voting rights, as follows:
- 11.285% (corresponding to 16,282,111 Company shares and voting rights) through CDSJ Holdings LTD and CSME Holdings Ltd which are controlled by him,
- 14.327% (corresponding to 20,676,500 Company shares and voting rights) through CDSJ Holdings LTD, CSME Holdings Ltd, STEJO Ltd and JCGH Ltd which are controlled by him,
- 7.714% (corresponding to 11,133,500 Company shares and voting rights) through CDSJ Holdings LTD and Honeysuckle Properties Limited which are controlled by him.
