Notice of Regulated Information

on Persons Discharging Managerial Responsibilities and Significant Change in Voting Rights, as per Law 3556/2007 and Regulation (EU) 596/2014

AVAX S.A. (the “Company”) announces in accordance with the provisions of Law 3556/2007, article 19 of Regulation (EU) #596/2014 and the notifications dated 26.06.2026 which were received from Cyprus-based companies CDSJ HOLDINGS LIMITED, JCGH LIMITED and CSME HOLDINGS LIMITED as well as Mr Christos Joannou, Chairman of the Board of Directors of the Company, that the Cypriot companies STEJO LIMITED and JCGH LIMITED which are controlled by CDSJ HOLDINGS LIMITED and by extension by Mr Christos Joannou, were both merged by absorption by their controlling company CSME HOLDINGS LIMITED, therefore the total number of shares that JCGH LIMITED directly held in the Company, namely 20,872,000 shares and the corresponding voting rights which represent 14.072% of the total voting rights of the Company, were acquired on 24.06.2026 by the controlling company CSME HOLDINGS LIMITED.

Following the above transactions, there is no change in the shareholding of Mr Christos Ioannou to the Company, which currently amounts to 21.618% of the Company’s voting rights (corresponding to 32,063,611 shares and voting rights) indirectly through the companies CDSJ HOLDINGS LIMITED and CSME HOLDINGS LIMITED, which are under his control.
